Independent Contractor Personal Trainer Agreement
This Independent Contractor Personal Trainer Agreement ("Agreement") is entered into between SD Fit Pros ("Company") and the undersigned independent contractor ("Contractor").
1. Scope of Services: Contractor is authorized to provide personal training services to clients at designated facilities managed by or affiliated with SD Fit Pros. Contractor shall determine the method, details, and means of performing the training services, subject to the safety standards and professionalism required by the Company.
2. Independent Contractor Status: Contractor is an independent contractor and not an employee of SD Fit Pros. Contractor is responsible for all tax obligations, and is not entitled to any Company benefits, including insurance or workers' compensation.
3. Client Payments and Disputes: Contractor is solely responsible for collecting payments from their clients. SD Fit Pros is not responsible for any unpaid fees or disputes between the Contractor and their private clients.
4. Liability Insurance Requirements: Contractor must maintain professional liability insurance naming SD Fit Pros and Garden Communities as additional insureds with minimum coverage of $1,000,000 per occurrence and $3,000,000 in the aggregate.
5. Client Waiver Requirement: Contractor must ensure that every client signs a liability waiver and release form approved by SD Fit Pros prior to commencing any training activity.
6. Scheduling and Cancellations: Contractor is responsible for managing their own schedule and client communication, adhering to facility rules and capacity policies.
7. Payment Terms to Company: Contractor shall pay SD Fit Pros the agreed-upon facility usage fee according to the specified schedule.
8. Confidentiality: Contractor agrees to keep all proprietary information regarding SD Fit Pros' business operations confidential during and after the term of this Agreement.
9. Liability and Assumption of Risk: Contractor assumes all risks associated with providing services at the designated facilities and agrees to indemnify SD Fit Pros and Garden Communities.
10. Term and Termination: Either party may terminate this Agreement with thirty (30) days' written notice, or immediately in the case of a breach.
11. Governing Law: This Agreement shall be governed by the laws of the State of California.
